1. Agreement to Terms

By accessing or using SPARQsites, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access or use the service. These terms apply to all visitors, users, and others who access or use SPARQsites.

2. Description of Service

SPARQsites is a web-based platform that provides website hosting, inventory management, and lead management tools for independent automobile dealers, with marketplace feed distribution coming soon. The service is provided by Luminoloop.

3. Account Registration

You must provide accurate, complete, and current information during the registration process. You are responsible for safeguarding your account credentials and for all activities that occur under your account. One account is permitted per dealership. You must be at least 18 years old and legally authorized to operate a business to use SPARQsites.

4. Free Trial

SPARQsites offers a 15-day free trial with no credit card required. During the trial period, you have full access to all features of the platform. At the end of the trial, you must subscribe to a paid plan to continue using the service. If you do not subscribe, your site will be deactivated.

5. Subscription and Payment

The SPARQsites subscription is billed at $60 per month, payable via PayPal. Subscription fees are billed on a monthly recurring basis. Prices are subject to change with at least 30 days prior notice. Failure to maintain an active payment method or to pay subscription fees may result in the suspension or termination of your account and access to the service.

6. Acceptable Use

You agree not to use SPARQsites for any purpose that is unlawful or prohibited by these terms. Specifically, you agree NOT to:

  • Use the service for any illegal or unauthorized purpose
  • Upload false, misleading, or fraudulent vehicle information
  • Upload content that infringes on the intellectual property rights of others
  • Attempt to reverse-engineer, decompile, or disassemble any part of the platform
  • Use automated tools, bots, or scrapers to extract data from the platform
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity
  • Distribute viruses, malware, or any other harmful software through the platform

7. Content and Data

You retain full ownership of all content you upload to SPARQsites, including vehicle listings, photographs, and business information. By using the service, you grant SPARQsites a non-exclusive, worldwide license to display, distribute, and transmit your content as necessary to provide the service, including marketplace feed distribution to third-party platforms once that feature becomes available. You are solely responsible for ensuring that your content is accurate, complete, and compliant with all applicable laws.

8. Facebook Page Integration

SPARQsites offers an optional integration that allows you to connect a Facebook Business Page and post vehicle listings to it directly from the platform. By enabling this feature, you:

  • Authorize SPARQsites to request the pages_manage_posts, pages_read_engagement, and pages_show_list permissions via Facebook Login on your behalf.
  • Grant SPARQsites permission to store a Page Access Token and use it to create posts on your selected Facebook Page.
  • Confirm that you are an authorized administrator of the Facebook Page you connect.
  • Acknowledge that posts published through this integration are your responsibility and must comply with Meta's Platform Terms and Facebook's Community Standards.

You may disconnect the integration at any time from Settings → Integrations. SPARQsites is not responsible for how Meta handles content transmitted to the Facebook Graph API, nor for any changes Meta makes to its API, policies, or permissions that may affect this feature.

9. Marketplace Feed Distribution (Coming Soon)

SPARQsites is developing marketplace feed distribution to third-party platforms, including but not limited to CarGurus, AutoTrader, InventoryCC, and DealerCenter (Carzing). Once this feature becomes available, by using it you will authorize SPARQsites to transmit your inventory data to these platforms. Each marketplace operates under its own terms of service. SPARQsites is not responsible for how third-party marketplaces handle, display, or process your data once it has been transmitted.

10. Intellectual Property

The SPARQsites platform, including its themes, source code, design, logos, and branding, is the exclusive property of Luminoloop. All rights are reserved. You may not copy, modify, distribute, sell, or lease any part of the platform. Your use of SPARQsites is limited to the license granted under these terms for the duration of your active subscription.

11. Termination

Either party may terminate the subscription at any time. SPARQsites reserves the right to suspend or terminate accounts that violate these terms, without prior notice. Upon termination, your website will be deactivated and your data will be retained for 30 days, after which it may be permanently deleted. You may request a copy of your data during this retention period.

12. Limitation of Liability

SPARQsites is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, SPARQsites and Luminoloop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total aggregate liability for any claims arising out of or relating to these terms or the service is limited to the amount you paid to SPARQsites in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless SPARQsites and Luminoloop, including their officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the service, your content, or your violation of these terms.

14. Modifications to Terms

SPARQsites reserves the right to modify these terms at any time. Material changes will be communicated to you via email or through a notice on the platform at least 30 days before they take effect. Your continued use of the service after such changes constitutes your acceptance of the revised terms.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in the applicable jurisdiction.
